Wholesome Food Works – Terms and Conditions of Sale
Definitions:
- Buyer: The purchaser of goods from Wholesome Food Works.
- Goods: Products and services provided by Wholesome Food Works.
1. Pricing and Delivery
- Prices are based on the current price list and may change without notice.
- Signed delivery confirms receipt of goods.
2. Orders
- Orders are considered offers to buy, subject to these terms.
- Orders can’t be cancelled or changed without our consent.
- Minimum order values may apply, and small orders might incur handling fees.
3. Payment
- Invoices are due as per payment terms on each invoice. Overdue payments may incur recovery costs.
- We reserve the right to offset any amounts owed.
4. GST
- Prices exclude GST, which is added on invoices.
5. Warranty
- Defective goods should be reported immediately.
- Our liability is limited to replacement, resupply, or refund, in line with Australian Consumer Law.
6. Claims and Returns
- Notify us within 24 hours of delivery for issues with quantity or incorrect items.
- Authorized returns must be in original packaging and saleable condition.
7. Risk and Ownership
- Goods remain our property until fully paid. Risk transfers to the Buyer upon delivery.
- The Buyer agrees to hold resale proceeds in trust for Wholesome Food Works until payment.
8. Modifications
- The Buyer cannot alter or remove labels without consent.
9. Default and Withholding Supply
- If payment terms are breached, we may suspend supply until payment is made.
- We reserve the right to withhold supply if goods are unavailable or if credit terms are not met.
10. Entire Agreement
- These Terms and Conditions supersede prior agreements. Any conflicts are governed by these terms.
